For purposes of this Agreement, the following terms shall have the meanings set forth below:
2.1 The Platform is a Technology Intermediary Only. The Platform is strictly an online marketplace and booking facilitation tool. It provides the technological means by which Guests and Resort Owners may find each other and transact directly. The Platform does not own, operate, manage, control, or take possession of any Property listed on the Site.
2.2 No Partnership, Agency, or Employment Relationship. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, franchise, fiduciary relationship, or employer-employee relationship between the Platform and any Resort Owner, or between the Platform and any Guest. Resort Owners are independent, third-party contractors solely responsible for their own Property, business operations, and compliance with all applicable laws.
2.3 Contract of Stay is Between Guest and Resort Owner. Upon confirmation of a Booking, a direct contractual relationship for the actual stay, accommodation, and related services is formed exclusively between the Guest and the Resort Owner. The Platform is not a party to that contract and assumes no obligation to perform, fulfill, or guarantee any aspect of the actual accommodation or on-site services.
3.1 Resort Owner Setup Fee. A one-time, non-refundable setup fee of ₱25,000.00 applies to each Resort Owner's Property listed on the Platform. New Resort Owners receive a complimentary first month with no setup fee due upon registration — the Property is listed and made bookable immediately. Following this initial period, fifty percent (₱12,500.00) of the setup fee becomes due to keep the listing active. The remaining fifty percent (₱12,500.00) is thereafter collected in twelve (12) monthly installments, automatically deducted from the Resort Owner's Wallet balance. Upon confirmation of the initial ₱12,500.00 payment, the Resort Owner receives a complimentary Wallet credit of ₱500.00, which may be applied toward future commission fees.
3.2 Monthly Maintenance Fee, Optional SEO Add-On, and Commission Structure. In addition to the setup fee described above, each active listing is subject to a monthly maintenance fee of ₱500.00, automatically deducted from the Resort Owner's Wallet balance. A Resort Owner may separately opt into a Page & Article SEO service at ₱1,000.00 per month, likewise deducted automatically from the Wallet balance; this add-on may be enabled or disabled by the Resort Owner at any time through the dashboard, with charges applying only for periods during which it is active. For every successfully completed Booking, a combined platform commission equivalent to eight percent (8%) of the total booking value shall be automatically deducted from the Resort Owner's Wallet balance — comprising a five percent (5%) base commission together with the three percent (3%) Guest Booking/Service Fee described in Section 3.3, which is collected by the Resort Owner as part of the Guest's payment and reclaimed by the Platform through this Wallet deduction. Resort Owners are required to maintain a sufficient Wallet balance to cover the fees described in this Section. Should the Wallet balance become insufficient, the Resort Owner's listing(s) may be temporarily suspended or restricted from accepting new Bookings until the Wallet is replenished.
3.3 Guest Booking/Service Fee. In addition to the total accommodation cost set by the Resort Owner, a Guest shall be charged an additional service fee of three percent (3%) of the total booking value at the time of booking through the Platform. This service fee is non-refundable under all circumstances, including Guest-initiated cancellations, Resort Owner-initiated cancellations, "no-shows," or disputes regarding the Property itself.
3.4 Direct Payment to Resort Owner. Guests shall pay the total accommodation cost directly to the Resort Owner through the payment channel(s) made available by the Resort Owner (e.g., GCash, bank transfer, or cash on arrival, as applicable). The Platform does not receive, hold, process, or have custody of any portion of the accommodation payment made by the Guest to the Resort Owner. The Platform's revenue is derived solely from the commission fee and the Guest service fee described above.
3.5 Refunds for the Stay Itself. Any request for a refund, credit, rebooking, or adjustment relating to the accommodation, room rate, cancellation policy, or the stay itself shall be resolved directly and exclusively between the Guest and the Resort Owner, in accordance with the specific cancellation and refund policy published by that Resort Owner. The Platform is not responsible for issuing, facilitating, guaranteeing, mediating, or enforcing any such refund.
4.1 General Disclaimer. To the fullest extent permitted by applicable law, BookLocalPH, its owner/proprietor, employees, agents, and representatives shall have no liability whatsoever for:
4.2 "As Is" Basis. The Platform and the Booking Services are provided on an "as is" and "as available" basis, without warranties of any kind, to the extent permitted by law.
4.3 Cap on Liability. Where liability cannot be lawfully excluded, the total aggregate liability of the Platform shall not exceed the total fees actually received and retained by the Platform directly attributable to the specific Booking giving rise to the claim.
4.4 No Waiver of Mandatory Legal Protections. Nothing in this Section is intended to exclude or limit liability for fraud, willful misconduct, or gross negligence directly attributable to the Platform itself, to the extent such exclusion is not permitted under Philippine law.
5.1 Resort Owner's Sole Responsibility. Each Resort Owner is solely responsible for ensuring that all information they post is true, accurate, current, and complete, including room descriptions, pricing, availability, policies, and compliance with all applicable permits and tax obligations.
5.2 No Verification Obligation. The Platform does not guarantee or independently verify the accuracy of listing content and disclaims all liability for a Resort Owner's failure to comply with this Section.
5.3 Indemnification. Each Resort Owner agrees to indemnify, defend, and hold harmless the Platform from any claims arising from inaccurate, false, or misleading information they posted.
6.1 Ownership. All content, source code, software, databases, designs, logos, and other materials on the Platform are the exclusive property of BookLocalPH or its licensors.
6.2 Restrictions. Users are strictly prohibited from copying, reproducing, or distributing Platform content; scraping or data-mining the Platform through automated means; reverse-engineering the Platform's software; or using Platform content for commercial purposes without written authorization.
6.3 User-Submitted Content. By submitting reviews, photos, or other content, Users grant the Platform a non-exclusive, worldwide, royalty-free license to use and display such content in connection with operating and promoting the Platform.
7.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines, including the Electronic Commerce Act of 2000 (RA 8792), the Data Privacy Act of 2012 (RA 10173), and the Consumer Act of the Philippines (RA 7394), as applicable.
7.2 Exclusive Venue. Any legal action arising out of or relating to this Agreement shall be filed and heard exclusively before the proper courts of [Insert City/Municipality], Philippines.
8.1 Amendments. The Platform reserves the right to modify these Terms at any time. Continued use following any changes constitutes acceptance of those changes.
8.2 Severability. If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
8.3 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between the User and the Platform.
